Master Services Agreement

Overview

This Master Services Agreement (“MSA”) outlines the legal terms governing your use of ReplyRouter.ai. It covers service scope, data handling, security commitments, and commercial terms. Replace this placeholder with your approved legal language.

1. Services

ReplyRouter provides AI-driven routing of replies from automated email notifications into designated internal teams. Services include routing rules, activity logs, and integration support as described in your Order Form or Statement of Work.

2. Security & Privacy

We maintain administrative, technical, and physical safeguards designed to protect your data. Data is processed only to deliver the service, and you control retention policies and redaction settings in the product.

3. Data Processing

ReplyRouter acts as a data processor for email metadata and content. We only retain the minimum data required to route replies and provide audit logs. The Data Processing Addendum (DPA) is incorporated by reference.

4. Service Levels

Standard uptime, response times, and support windows are defined in your plan. Enterprise customers may receive custom SLAs with priority support and dedicated routing infrastructure.

5. Fees & Billing

Fees are billed in advance based on volume tiers and routing complexity. Late payments may result in service suspension. Taxes and third-party pass-through costs are billed as applicable.

6. Term & Termination

The agreement remains in effect for the term stated in your Order Form and renews automatically unless terminated with written notice. Either party may terminate for material breach, subject to cure periods.

7. Compliance

Customers are responsible for compliance with applicable laws, including consent requirements for email communications and marketing practices.
